Job Description
Head of Governance
Role:
The Head of Governance will ensure that the organisation complies with its Charter and Bye-laws, and all legal, regulatory and statutory requirements, maintaining compliance with all matters of corporate governance.
Main Accountabilities:
* Develop strategies to ensure governance best-practice across the RNIB and supporting Board effectiveness
* Ensure an effective governance service is provided across the organisation
* Advise stakeholders on charity law, Charity Commission guidance, governance policies, processes, and best practice
* Build strong relationships with Trustees, non-Trustee committee members and senior staff. Actively promote and facilitate good working relationships between members of the Board and ELT
* Oversee delivery of the governance cycle for the Board and its committees
* Support the Board to carry out succession planning, including appointment, induction and ongoing training of new Trustees and Committee members
* Act as Deputy Company Secretary to RNIB and its subsidiaries
* Responsible for the governance of RNIB's group structure including all Companies House filings as well as relationships with charity regulators including the Charity Commission, and OSCR
* Line-managing the Governance Manager

Essential:
* Experience of leading a governance function
* Strong working background of developing and implementing strategic governance plans and frameworks
* Demonstrable experience of advising the Board and Senior Management team around governance matters
* Outstanding stakeholder engagement and influencing skills
* Experience of acting in sensitive environments with the upmost integrity
* Proven experience in, and demonstrable working knowledge of, charity law and regulation. Experience of ensuring compliance with legal and regulatory guidance, including making appropriate filings to and dealing with regulators including Companies House, Charity Commission etc.
* Ability to understand and demonstrate commitment to RNIB's Equal Opportunities Policy and to ensure all activities are consistent with the Equal Opportunities Policy. This includes all staff activities and their interface with the general public.

Salary range: Up to £70,000 (dependant on experience)
Pension: You can choose from three contribution levels and receive an employer contribution between 5 percent and 11 percent depending on the level of contributions you make
Holiday: 26 days per year plus bank holidays which increases with service.
