Group Company Secretary

Salary: £100,000-£110,000 + 10% Bonus & Excellent Benefits

Location: London (hybrid working)

My client is a rapidly growing global organisation offering a range of services to the Professional Services sector globally. As part of their exciting growth plans an opportunity exists to join this business as a Group Company Secretary.

You will become an integral part of a high calibre team delivering an extensive range of corporate secretarial and governance services for the UK entities of Global clients, responsible for providing high quality advice and work with others in the team to deliver an excellent client experience and ensure clients remain up to date with their statutory obligations.

Your role will include providing advisory and meeting support to our listed Board and its Committees and answering ad hoc queries from our independent professional services business.

You will also oversee resources provided by our Corporate Secretarial professional services business, who support on subsidiary governance, subsidiary meetings, compliance monitoring, training , ad hoc governance projects and other company secretarial tasks.

Key Duties:

* Supporting the Remuneration Committee Chair in the management of that Committee’s affairs, in particular the coordination of documentation for meetings, acting as liaison with the remuneration advisor and overseeing compliance with laws, regulations and best practice governing that area, including disclosures required in the annual report and accounts for the listed entity

* Liaising with advisors to the investment trust arm of the business including the investment manager, registrar, external auditors and joint corporate brokers

* Providing Board and Committee meeting support to the listed company Board and its Committees

* Providing governance advice to the listed entity and the wider Group

* Drafting the governance sections of the listed entity’s annual report and accounts

* Coordinating the induction of new directors to the listed entity

* Updating and managing the Group’s authorised signatory lists

* Drafting and publishing Stock Exchange announcements

The Person:

* ICSA qualified with a minimum of five years’ experience in a senior company secretarial role

* Experience in supporting Remuneration Committees of listed companies

* Experience in the financial services sector or with investment trusts desirable

* Ability to build relationships and rapport particularly at Board and Executive levels, demonstrating credibility and discretion

The role is based from their London office, offering hybrid working with 3 days in the office and 2 days from home.
